Welcome to BeoBid! These Terms of Service of service ("Terms" or "Terms of Service") explain the things you need to know about using our Services. Thank you for taking the time to read them.
Beo International LLC ("Beo International", "we" or "us"), a company registered in Delaware.
These Terms of Service apply to your use of the Beo International online interfaces and properties, including the BeoBid.com website, all its subdomains and the BeoBid mobile applications (the "Services" or "BeoBid").
The Privacy Policy is incorporated into these Terms of Service by reference. The Privacy Policy explains how we collect, use, and share information about you when you use the Services. The Privacy Policy is available at https://beobid.com/legal/privacy.
These Terms of Service replace all previous agreements, claims, statements, written or oral, between you and Beo International regarding the use of the Services, including, but not limited to any previous versions of the Terms of Service, the help and FAQ pages.
These Terms of Service are a legally binding contract which you must accept when you create an Account. Everything in the Terms of Service is important, so please take the time to read the Terms of Service in full before you accept them. If you do not agree to these Terms you may not use the Services or any other services provided by Beo International.
The Terms of Service are subject to alterations at any moment, be it to rectify data, adapt to modifications in the Services or business operations, or to adhere to relevant laws or regulatory modifications. Significant modifications to the Terms of Service will be communicated prior to their implementation at least 7 days in advance.
You must be at least 18 years old, or the legal age required to enter into a binding contract in your jurisdiction, to use the Services. If you are under 18 years old, you may only use the Services with the involvement of a parent or legal guardian who agrees to be bound by these Terms of Service.
Beo International only operates in certain countries. If you are a resident of a country where Beo International does not operate, you may not use the Services. Beo International may, in its sole discretion, and according to the Terminations section of these Terms of Service, stop providing the Services in certain countries.
The Services is offered exclusively to individuals, with the exclusion of all legal entities, including companies, corporations, partnerships, associations, and other similar entities.
Beo International does not guarantee that the Services, or any part thereof, will always be available. Access to certain sections of the Services may be restricted at our discretion, including for registered users.
When using the Beo International Services, virtual credits such as Beo Tokens may be spent without receiving physical items. The user is fully responsible for their spending, bidding, and purchasing behavior while using the Services. Beo International does not take responsibility or liability for a user's bidding or spending on the platform or through any of its Services. It is the user's sole responsibility to thoroughly read product descriptions and be familiar with the items they bid on or purchase through the Services. The user bears full responsibility for their purchases.
You are prohibited from attempting to compromise the security of the Services. This includes but is not limited to unauthorized access to data, servers, or accounts, probing or testing the vulnerability of systems or networks, and accessing the Services or any part thereof without authorization. You may not use any automated means such as scrapers, crawlers, spiders, robots, etc. to access or copy data from the Site or bypass measures to restrict access. Interfering with the Site, Services, transactions, or putting material with viruses or other harmful computer programs on the Site is also prohibited. Any violations of system or network security may result in civil or criminal liability, and Beo International will investigate and cooperate with law enforcement in prosecuting any violations.
To access the Services, you must first create an online account with Beo International, which requires your email, password, telephone number, and other information as required by Beo International. You are only allowed to register once and have a single account for personal use. Moreover, each household or group of users, as determined by our sole discretion, may not have more than two Beo International member accounts. If any individual is found to control multiple accounts or if a household or a group of users is found to have control over more than two accounts, all such accounts will be promptly suspended, all auctions the accounts participated in will be declared invalid, and any purchased Beo Tokens will be forfeited without notice or compensation.
Your account has an username that is set by and can be changed by you. The username you choose must not offend common decency or infringe upon the rights of others. The username must also not be misleading in any way or resemble the identity of an existing user.
The information you provide through the Services must be correct, current, and complete. You agree to maintain and promptly update and correct your user account information to keep it true, accurate, current, and complete. If you provide any information that is untrue, inaccurate, not current, or incomplete, or we have reasonable grounds to suspect that such information is untrue, inaccurate, not current, or incomplete, we may suspend or terminate your account or access to the Services. If you abuse your user account, whether it harms a third party or Beo International, you may be disqualified and, if applicable, Beo International may notify applicable authorities of the possibility of a crime.
ACCOUNTS AUTHORIZED TO USE THE SERVICES CANNOT BE TRANSFERRED OR USED BY ANYONE OTHER THAN THE AUTHORIZED ACCOUNT HOLDER. USE OF THIS ACCOUNT BY A PERSON OR PERSONS NOT AUTHORIZED BY BEO INTERNATIONAL IS STRICTLY PROHIBITED. NO MORE THAN ONE LOG-IN SESSION OR ONE AUTHORIZED ACCOUNT USER CAN BE ACTIVE AT A TIME FOR ANY ACCOUNT. EXCEPT AS OTHERWISE PERMITTED BY THE BIDBUDDY SYSTEM, ACCOUNTS WHICH HAVE BEEN TRANSFERRED IN WHOLE, PART, OR PROXY BIDDING TO OTHER PARTIES, OR SHOW OTHER ACTIVITY IN VIOLATION OF THESE TERMS, ARE SUBJECT TO IMMEDIATE TERMINATION. BEO INTERNATIONAL RESERVES THE RIGHT TO MAINTAIN LOGS OF ACCOUNT ACTIVITY AND TO USE SAID LOGS FOR THE PURPOSE OF DETECTING USAGE IN VIOLATION OF THESE TERMS.
Beo International reserves the right to at any time temporarily or permanently disqualify a user for violating these Terms. Users will be disqualified when, in Beo International's reasonable opinion, a user has violated any law, regulation or equitable interest in favor of a third party, such as protecting users and the Service from manipulation. Moreover, Beo International reserves the right to cancel unauthorized Beo International accounts or accounts that have been inactive. Each user agrees not to hold Beo International responsible for any loss incurred as a result of such action.
You must keep your Services credentials confidential and are solely responsible for any activity under your account. Your password should only be used to access the Services. If you believe your account credentials or password have been compromised, you must immediately inform Beo International and change your password to minimize potential losses. You are responsible for providing and maintaining all necessary equipment to use the Services, including computer hardware and software, modems, network or Wi-Fi connections, and telephone service.
Beo Tokens must be purchased by users before taking part in an auction. With each submitted bid, the price of the item being bid on increases by a specified amount, which is usually, but not always, a small unit of currency like 0.01 GBP/EUR/USD or 1 JPY. At the same time the Beo Token balance of the user's account is reduced by one Beo Token.
When a user submits a bid, it represents their offer to Beo International to purchase the item in question. The contract to purchase the item is only established once the auction has ended and the last bidder has completed all the necessary steps outlined in this section.
Each bid made by a user restarts the countdown timer for the auction, which can be viewed in the auction details. The auction ends when no further bids are placed within the remaining time stated, unless other bidders have bids booked through their BeoMate. In the case of network delays, a bid made through the BeoMate may be registered with the system even after the auction's countdown time has expired, but will still be considered valid as long as the bid was booked within the countdown time.
The winner of the auction is the user who places the final bid before the countdown timer runs out. This winner is determined based on Beo International's database records, and Beo International's determination is final. Any bid that is placed after the timer expires, fails to reset the timer, or is not properly recorded by the system will be considered invalid.
A bid is considered invalid if it does not reset the auction timer after it has been placed. To avoid this, Beo International advises users to bid a few seconds before the auction timer reaches zero, as there may be a delay in the system registering the bid even if it appears to have been accepted.
The "Buy It Now" option is available for certain auctions, allowing you to receive your used Beo Tokens back if you purchase the identical item with the same model at its "Buy It Now" price. This option is only available for a designated time period, usually seven days after the auction's end, after which it is no longer accessible. The "Buy it Now" prices are not always equivalent to those of other retailers or merchants. The "Buy it Now" pricing should not be used as an indicator of product value or for price comparison purposes. Using the "Buy It Now" option before the auction is over will automatically prevent you from further participating in the auction. If you have set up a BeoMate for the auction, it will be automatically cancelled and the Beo Tokens used for the BeoMate will be returned to your account.
To maintain fairness and balance in its auctions, Beo International may provide special promotions, access to exclusive auctions, and/or free Beo Tokens to some new users or users who have lost auctions. This aims to promote fairness and enhance the overall auction experience for all participants.
Each Beo Token is a limited, non-transferable, one-year license to place one bid on a BeoBid auction. Beo Tokens can be obtained in a number of ways, like buying them, buying products in the Beo Shop, winning Beo Token Auctions. Beo Tokens do not hold any monetary value and cannot be used to offset the purchase price of products or exchanged for cash or any item of monetary value.
You can submit a bid by clicking the "Bid" button, or by using the automated bidding tool called the BeoMate.
A bid is registered and counted only when Beo International's system registers the bid. A bid is not counted and valid when it is sent from the user's Web browser or device, but when Beo International's servers receive and register the bid request. The website and mobile app attempt to account for internet latency, but this may not always be feasible during high traffic or when the user's internet connection is slow. Beo International does not accept responsibility for any delays during bidding or in auctions. The company strives to maintain the accuracy of the auction timers, but cannot guarantee reliable function of the system and bidding clock.
In order to uphold fair auction practices, we will reschedule auctions that end prematurely due to technical or third-party issues to a later time. In such cases, where bidders cannot participate in the auction normally, we will return all utilized bids to involved bidders.
The BeoMate can assist users in participating in an auction, even if the users are not online at that time. Only registered users can submit bids automatically using BeoMate.
Beo International does not guarantee the precision of the BeoMate feature and Beo International may not be held responsible for any BeoMate software errors of commission or omission. The user is prohibited from using any bidding software not authorized by Beo International; if the user does, in fact, use unauthorized software, it may result in immediate disqualification from Beo International's systems and Service.
All prices are quoted and payments processed in the currency of the user's account country. The user is responsible for any currency conversion fees that may be incurred by the user's bank or credit card company. Beo International reserves the right to change the prices of Beo Tokens at any time.
Beo Tokens must be purchased by users before taking part in an auction. Beo Token can be purchased in packages at the currently applicable prices. The Beo Token packages must be paid for in advance. When the Beo Tokens are purchased and deposited into the user's BeoBid account, a contract for the purchase of the Beo Tokens materializes. The associated invoice is due immediately. If a user is suspended for whatever reason, all of their Beo Tokens will be forfeited and will not be refunded.
Used Beo Tokens cannot be refunded.
Beo International reserves the right to sell Beo Tokens at any discounted price to specific user groups for promotional purposes. All Beo International users understand that they may from time to time receive unique offers to buy discounted Beo Tokens and that other users may do so as well. Similarly, users may see different product pricing, based on their country of residence, or the activity characteristics of that user. Beo International may issue any number of free Beo Tokens to users or user groups as part of special promotions or for any other reasons at its discretion.
Once the auction has ended, the final bidder (the "winner") will have the option to make payment for the item. The winner must take active steps to confirm the win, following the instructions provided on the relevant page or elsewhere on the Services. Upon receipt of the full payment amount displayed on the payment page, the win will be considered accepted. The winner will also receive a win notification via email, requesting payment.
The user must complete payment for the auction price, shipping fees, and any applicable taxes within 14 days of receiving the notification of their win. If payment is not made by this deadline, Beo International can rescind the purchase contract, revoking the user's right to receive the item, and there will be no entitlement to a refund of any Beo Tokens used in the auction. For users who choose the "Buy it Now" option, payment for the item price and associated taxes must be made within 7 days of the auction ending. The user is responsible for paying all applicable taxes on their purchases.
Orders may be subjected to sales tax if required by law. For orders made through the "Buy it Now" option, the tax amount is calculated based on the "Buy it Now" price, and for auction wins, the tax amount is based on the final auction price.
Beo International may offer the option to exchange an auction win for Beo Tokens. This option may be presented before the user pays for the auction win. If the user accepts the exchange offer, they will receive the equivalent value in Beo Tokens in their account, and lose the right to pay the auction price to receive the item. The availability and terms of the exchange offer may change and vary among users and auctions.
Each product may have a limit on the number of times an user can win its auctions within a specified time frame, which may be unlimited. The winning limit will automatically reset once the time frame has elapsed from the end of the auction. If the user has already reached the winning limit for a particular product, the system will prevent them from placing bids in that auction. Upon winning an auction, any BidMates for the same product in different auctions will automatically be cancelled and the booked Beo Tokens refunded.
Beo International retains the right to periodically review its guidelines for winning limits and may restrict a user's account from winning an excessive number of auctions at its sole discretion. With the aim of promoting a fair experience for all users, Beo International may limit the number of wins for a specific item over a specified period. If the limit has been reached, the user will be prevented from placing bids on that item. Additionally, Beo International may restrict certain auctions to users based on factors such as their experience, bidding and spending history, and other demographics, in an effort to equalize the chances of winning for all users. Please note that Beo International reserves the right to exclude users from auctions as deemed appropriate for the overall user experience.
Deliveries are made within the regions where Beo International operates. To fulfill its obligations, Beo International may use third-party services without notifying the buyer. In case of noticeable damage to the product or packaging during transport, the buyer must inform the courier upon receiving the delivery.
In the event that Beo International is unable to deliver the ordered item, it reserves the right to replace it with a similar product of equivalent value. Alternatively, Beo International may offer a gift card of the item's value to the buyer.
If the delivered product is damaged, defective, or does not match the description, Beo International will provide a replacement at its own expense. However, replacement is not applicable for items shipped to a freight forwarding company, as shipment to such companies is not allowed under these Terms.
Please note that all the delivery dates indicated are approximate and non-binding. Transport delays are not considered a reason for cancellation of the order. The buyer is responsible for providing the correct delivery address. Beo International is not responsible for any delays or losses caused by incorrect delivery address. Tracking information may not be available for all shipments.
Beo International will from time, at our sole discretion, award users using the Site with free Beo Tokens. The number of free Beo Tokens awarded or not awarded is determined solely by Beo International on an account by account basis. Free Beo Tokens can be obtained by many means, including, but not limited to:
Beo Tokens held in user accounts must be used within 365 days from the day that the Beo Tokens have entered the account through purchase, item exchange or auction win. If the Beo Tokens have not been used within that time, they will expire and be permanently removed from the account.
The Beo Shop is a section of the Services where users can purchase items from Beo International. The Beo Shop is not an auction, and the items are not sold through the auction system. Items in the Beo Shop are sold at their "Buy It Now" price. The user must pay for the item, shipping fees, and any applicable taxes before the item is shipped. The user is responsible for paying all applicable taxes on their purchases.
Some items in the Beo Shop may grant the user a specified number of Beo Tokens.
We reserve the right to monitor and prevent any fraudulent or malicious behavior while using the Services. If Beo International suspects that you are engaging in these prohibited behaviors, your account may be permanently suspended.
You must not register or place bids using false information or an invalid credit card. This fraudulent behavior is not acceptable and may result in your account being reported to the relevant authorities for prosecution to the fullest extent possible.
Beo International reserves the right to refuse any order you place with us. The company may, at its discretion, limit or cancel the number of items purchased per individual, per household, or per order. This could include orders made under the same customer account, the same credit card, and/or those placed in a certain geographic region. If Beo International decides to change or cancel an order, they will try to notify you through the email, billing address, or phone number provided when the order was made. Additionally, the company reserves the right to limit or prohibit orders that, in its sole discretion, appear to be placed by dealers, resellers, distributors, or others who violate these Terms.
Users agree to only use Beo International's network for lawful purposes and understand that Beo International may monitor all network activity. When using Beo International, users must not, and must not allow or assist others in, misusing or fraudulently using the Services, including, but not limited to:
Collusion and team play are strictly prohibited on BeoBid. This includes, but is not limited to, members working together in pairs or groups, creating the illusion of more participants than there actually are, or alternating between accounts to earn more "Buy it Now" offers.
Two members who are known to each other or associated with each other are not allowed to participate in the same auction. Doing so is considered team play and results in the forfeiture of the right to purchase the deal or receive any refund of used Beo Tokens. We reserve the right to implement measures to prevent associated accounts from participating in the same auction.
We reserve the right to disqualify any users suspected of team play by voiding their wins and freezing their accounts. No funds or bids will be refunded or transferred to other accounts. If a user is found to have violated these terms, they must immediately pay for any free bids used, including those received in the past, at their current selling price.
Beo International reserves the right to investigate any potential breaches of these Terms, policies, or guidelines, or any complaints and take appropriate and reasonable action to protect its systems, facilities, users, and third parties. This may include but is not limited to issuing warnings, suspending or terminating services or user accounts, and removing or disabling access to content hosted on Beo International's systems. We have complete discretion to remove or disable access to, screen, or edit any content that violates these provisions or is deemed inappropriate. In case of any suspicious illegal activity, Beo International also reserves the right to report it to the relevant law enforcement authorities.
The user may return the item in an un-depreciated condition within 30 days of receipt if not satisfied for any reason. Upon verification of the product's condition, Beo International will refund the purchase price of the product. Beo International will not refund the value of the Beo Tokens spent to obtain the product. In the event that a user wishes to return a Buy it Now order the user also forfeits all the free Beo Tokens given to them alongside the purchase. If the user has used the free Beo Tokens given to them, the user will need to restore the Beo Token balance to the original amount in order for Beo International to process the refund. Once both the item has been returned and the Beo Tokens removed from the user's account balance, a refund will be given. The right to cancel does not exist in the case of mail order sales and e-commerce contracts for the delivery of audio and video recordings or of software, if and to the extent that the seal on the delivered media has been broken by the user.

We reserve the right to replace the item with a similar one of equal or similar value, in case of delivery challenges. If the user prefers, we may also offer a substitute item of lesser value or a gift card as a solution. Substitutions may be necessary due to issues such as manufacturing or inventory challenges faced by the supplier.
In the event that Beo International is unable to provide the item auctioned, we retain the right to offer the winner a comparable alternative item within the same price range or alternatively the equivalent of the item Recommended Retail Price ("RRP") in Beo Tokens. For the purpose of conversion to Beo Tokens the RRP considered will be the one for the your country and converted to GBP. The value of a Beo Token is fifty pence (GBP 0.50) and is subject to change at any time.
By using the Services and submitting any information or materials ("Licensed Materials"), you grant Beo International a non-exclusive, worldwide, royalty-free, irrevocable, and sublicensable right to use, reproduce, modify, display, and distribute the Licensed Materials in any existing or future media.
You acknowledge that the Licensed Materials you provide will be considered non-confidential and non-proprietary, and that you have the right and authority to grant the license to Beo International. You are solely responsible for the legality, reliability, accuracy, and appropriateness of the Licensed Materials you submit. Beo International is not responsible for the content or accuracy of any Licensed Materials posted by you or any other user of the Services and has the right to disclose your identity or other information if material posted by you violates the rights of a third party.
You understand that Beo International hold all right, title, and interest to the Services and all intellectual property, material, content, and features provided through the Services. You may only use the content available through the Services as provided by Beo International. You may not conduct any commercial use of the Site or Services, collect e-mail or user information, make derivative uses of the Site and its contents, or use data mining methods.
You agree to only use the information disclosed to you by Beo International regarding another user of the Services for the purpose of participating in the Site and completing transactions originating from the Site. You agree not to use the information for solicitation, advertisement, spamming, harassment, threat, invasion of privacy or publicity rights, or any other objectionable purposes. You also agree to not disclose user information disclosed to you by Beo International except as provided by these Terms or with written consent.
You agree not to make use of any other users' information other than as necessary to participate in the Site and to complete any transaction in which you are involved. Specifically, you agree that with respect to any information disclosed to you by Beo International regarding another user of the Services, you only will use such information, unless otherwise authorized, (a) to complete transactions originating from the Site, including the use of third-party services, (b) for communications with us, or (c) as permitted by the corresponding user identified in such information. You agree not to disclose any user information disclosed to you by Beo International except as provided by these Terms or with our written consent. You further agree not to use any information accessible from the Site for purposes of solicitation, advertisement, or spamming, or which is harassing, threatening, harmful, invasive of privacy or publicity rights, abusive, inflammatory or otherwise objectionable.
Your Licensed Materials must not:
Beo International reserves the right to remove or refuse to post any Licensed Materials at its discretion for any or no reason. However, Beo International cannot review all Licensed Materials before they are posted and cannot guarantee prompt removal of any objectionable material after it has been posted. Beo International assumes no liability for any action or inaction regarding transmissions, communications, or content provided by any user or third party. Beo International is not responsible for performance or non-performance of activities described in this section.
Beo International is not responsible for the products or services available on the Service as they do not manufacture or control them. The presence of these products or services on the Service does not imply an affiliation or endorsement. Beo International does not provide any warranties for these products or services, but they may be covered by the manufacturer's warranty that comes with the product. To make a claim under the manufacturer's warranty, please follow the instructions provided with the product.
Products or services offered by Beo International or through the Service may have separate warranty terms and conditions. Beo International cannot be held liable for any breach of warranty claims or damages caused by the manufacturer's failure to fulfill their warranty obligations.
BEO INTERNATIONAL, ITS AFFILIATES, AND THEIR PARTNERS, PROVIDERS, EMPLOYEES, AGENTS, OFFICERS, OR DIRECTORS WILL NOT BE HELD RESPONSIBLE FOR ANY DAMAGES YOU MAY INCUR AS A RESULT OF USING THE SERVICE. THIS INCLUDES, BUT IS NOT LIMITED TO, LOSS OF PROFITS, HARM TO REPUTATION, DATA LOSS, OR OTHER INTANGIBLE LOSSES. BEO INTERNATIONAL WILL NOT BE HELD RESPONSIBLE FOR ANY HARM OR DAMAGE CAUSED BY INACCURACIES IN THE DATA OR SERVICES PROVIDED, CHANGES TO THE SERVICES, REMOVAL OF CONTENT FROM THE SERVICES, OR IF YOU BREACH THESE TERMS. THIS LIMITATION APPLIES REGARDLESS OF HOW THE DAMAGES OCCURRED, EVEN IF THEY WERE FORESEEABLE. HOWEVER, THIS LIMITATION DOES NOT APPLY TO ANY LIABILITY THAT CANNOT BE EXCLUDED OR LIMITED UNDER APPLICABLE LAW. BEO INTERNATIONAL'S MAXIMUM LIABILITY IN ANY SITUATION WILL BE LIMITED TO THE AMOUNT PAID BY OR ON BEHALF OF THE USER FOR THE PRODUCT OR SERVICE THAT LED TO THE DAMAGES.
BEO INTERNATIONAL OFFERS THE SERVICES AND ALL CONTENT AND INFORMATION CONTAINED WITHIN THE SERVICES "AS IS" WITHOUT ANY WARRANTIES OR CONDITIONS OF ANY KIND, WHETHER EXPRESSED OR IMPLIED. THE USE OF THE SERVICES IS AT YOUR OWN RISK. BEO INTERNATIONAL DOES NOT GUARANTEE THAT THE SERVICES WILL ALWAYS PERFORM WITHOUT FAILURE, BE AVAILABLE, ACCESSIBLE, UNINTERRUPTED, TIMELY, SECURE, ACCURATE, COMPLETE, OR ERROR-FREE. ANY DEFECTS IN THE SERVICES WILL NOT NECESSARILY BE CORRECTED.
BEO INTERNATIONAL DOES NOT MAKE AND HEREBY DENIES ANY REPRESENTATIONS OR WARRANTIES REGARDING THE SERVICES OR ANY PORTION THEREOF, INCLUDING BUT NOT LIMITED TO, IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT, OR ARISING FROM COURSE OF DEALING, COURSE OF PERFORMANCE, OR USAGE IN TRADE. BEO INTERNATIONAL ALSO DOES NOT WARRANT THAT THE SERVICES WILL MEET YOUR NEEDS OR EXPECTATIONS, OR CONTAIN CURRENT OR ACCURATE INFORMATION.
YOU ASSUME FULL RESPONSIBILITY AND RISK FOR YOUR USE OF THE SERVICES AND LINKED WEBSITES. BEO INTERNATIONAL DOES NOT GUARANTEE THAT FILES AVAILABLE FOR DOWNLOAD WILL BE FREE OF VIRUSES, WORMS, TROJAN HORSES, OR OTHER DESTRUCTIVE PROGRAMMING. YOU ARE RESPONSIBLE FOR IMPLEMENTING SUFFICIENT PROCEDURES FOR DATA BACKUP AND SECURITY.
THE FOREGOING DOES NOT AFFECT ANY WARRANTIES THAT CANNOT BE EXCLUDED OR LIMITED UNDER APPLICABLE LAW.

These Terms remain in effect until either party decides to terminate them. You may do so at any time by submitting a written request to Beo International to close your account and discontinue the use of the Service. If you use the Service after giving notice, you are acknowledging these Terms again. Upon termination, you lose any rights to use any content or Services provided. Any licenses granted to Beo International to use Licensed Material will remain valid unless otherwise agreed upon in writing by both parties.

In the event that any clause or provision in these Terms is deemed invalid, void, or unenforceable, either in its entirety or in a specific instance, the rest of the Terms shall still remain in full effect. If a term or provision is only deemed invalid or unenforceable in a specific situation, it shall remain in full force and effect in all other instances. Furthermore, if a court of competent jurisdiction determines that any provision in these Terms is invalid, the parties agree that the court should attempt to enforce the parties' intended meaning as reflected in the provision, and the rest of the Terms shall continue to remain in full effect.
In the event of force majeure, Beo International shall not be held responsible or liable to you, nor considered to have violated these Terms, for any delay or failure in its performance under these Terms. Such delays or failures are excused to the extent they are caused by circumstances beyond our control, including, but not limited to, natural disasters (e.g. flood, fire, earthquake, explosion), governmental actions, war, terrorism, civil unrest, national emergencies, revolution, epidemics, lockouts, labor disputes, transportation delays, shortage of materials, telecommunication disruptions, or power outages.
You agree that any failure by Beo International to enforce a term or condition outlined in these Terms shall not be viewed as a permanent waiver of that term or a waiver of any other term. The non-enforcement of their rights, either under these Terms or by law, will not be considered as a waiver of their rights.
These Terms of Service are governed by the laws of Delaware.
